1. Preliminary provisions, scope, provider information
1.1 These General Terms and Conditions ("Online Shop Terms and Conditions" or the “Regulations”) apply to the purchase of products offered via our "Fronius Hardware Online Shop" (hereinafter also the "Online Shop"), which is operated by the Seller and available at: https://shop.fronius.com/pl_PL, through which the Customer may obtain information about the goods offered by the Seller. When using this Online Shop, our terms and conditions apply exclusively. Any deviating or additional terms and conditions from the Customer are not binding for us, even if we do not object to them in individual cases, unless we expressly acknowledge them. In this case, they shall only apply to the respective individual contract with the Customer.
1.2 Unless otherwise stated, these Online Shop Terms and Conditions apply to consumers and entrepreneurs alike. A consumer is any natural person who, when concluding a legal act with the Seller, does so for a purpose not directly connected with that person’s business or professional activity. A natural person is also deemed a consumer when concluding a legal act with the Seller if it follows that the contract does not have a professional character for that person, in particular in view of the subject of the business activity performed by that person as disclosed under the Central Registration and Information on Business (CEIDG). An entrepreneur is a natural person, a legal person, or an organizational unit without legal personality that is granted legal capacity by statute, who, when concluding a legal act, acts within the scope of that person’s commercial or professional activity. Customers within the meaning of these online shop terms and conditions are both consumers and entrepreneurs.
1.3 Our General Terms and Conditions of Delivery and Payment (available at https://www.fronius.com/pl-pl/poland/ogolne-warunki-handlowe) apply in addition to entrepreneurs. In the event of contradictions between these online shop terms and conditions and the General Terms and Conditions of Delivery and Payment, the provisions of the online shop terms and conditions shall prevail.
1.4 The terms and conditions and the registration, ordering process, and conclusion of the contract are provided in English and Polish.
1.5 We would like to point out that we only offer delivery of our products within the borders of the Republic of Poland. You are, of course, free to have the goods offered in our online shop delivered to an address within the Republic of Poland and to organize any further (cross-border) delivery yourself and at your own responsibility.
1.6 The Seller under these Online Shop Terms and Conditions is Fronius Polska Spółka z ograniczoną odpowiedzialnością with its registered office in Gliwice (44-109), ul. Gustawa Eiffela 8, entered in the Register of Entrepreneurs of the National Court Register under number KRS: 0000396077, NIP: 9691601384, REGON: 242745480. 2. Provision of services by electronic means, registration and access data for the Fronius Hardware Online Shop
2.1 Types and scope of services provided by the Seller electronically:
a. concluding online sales contracts - for goods
sold in the Online Shop,
b. rules for registering and using an Account in
the Online Shop,
c. sending e-mails in which the Seller confirms
receipt of the order, possible receipt of payment, acceptance of the order for
execution.
2.2 Use of the Online Shop is possible provided that the IT system used by the Customer meets the following minimum technical requirements:
a. current versions of web browsers, e.g.:
- Firefox
- Chrome
- Microsoft Edge
b. any programme for viewing files in PDF format.
2.3 The content posted on the Online Shop's website, including descriptions of Goods and prices, constitutes an invitation to conclude a contract within the meaning of Article 71 of the Civil Code.
2.4 The Seller makes these Terms and Conditions and the Appendices available via a link on the home page before, during and after the conclusion of the Distance Sales Contract. The Customer may download and print them.
2.5 In order to ensure the security of communication and data transmission in connection with the services provided, the Online Shop takes technical and organizational measures appropriate to the level of security of the services provided, in particular measures to prevent unauthorized persons from obtaining and modifying personal data transmitted over the Internet.
2.6 The Customer is obliged in particular to:
- use the Online Shop in a manner consistent with the provisions of law in force in the territory of the Republic of Poland, the provisions of the Terms and Conditions, as well as the general principles of using the Internet,
- not providing or transmitting content prohibited by law, e.g. content promoting violence, defamatory or violating personal rights and other rights of third parties,
- using the Online Shop in a manner that does not disrupt its functioning, in particular through the use of specific software or devices,
- not taking actions such as sending or placing unsolicited commercial information (spam) within the Online Shop,
- to use the Online Shop in a manner that is not burdensome for other customers and for the Seller,
- to use any content posted within the Online Shop only for personal use.
2.7 Customers can register in the Online Shop by entering the information marked as mandatory in the registration form and submitting the form by clicking on "Register." Upon registration, the customer will receive an email containing an email address verification link to complete the registration process. Customers also have the option of using the Online Shop via guest access; in this case, sections 2.8 to 2.9 do not apply.
2.8 After you have submitted your data by clicking on "Register," we will immediately send you an email confirming your registration.
2.9 Once you have successfully registered, we will create a user account for you, which you can access using your login details (user name and password). The login details can be changed at any time via the password-protected user account.
2.10 We will never contact you and ask you to disclose your access data. Please notify us immediately in the event of such unauthorized contact.
2.11 You are obliged to prevent unauthorized access by third parties to protected areas of your personal user account by taking appropriate precautions; in particular, access data must be kept secret from unauthorized third parties.
2.12 By using the online shop or registering, the client agrees to the terms of use of the Customer Self Service. These are available at https://customerselfservice.fronius.com/de/TermsOfUse.
3. Conclusion of contract in distance selling
3.1 The presentation of products in the Online Shop does not constitute a legally binding offer, but rather a non-binding online catalogue and serves to enable the Customer to submit a binding offer.
3.2 Preconfigured welding systems are also offered for sale in our Fronius Hardware Online Shop. System sales, i.e., orders placed using a configurator, are not possible in the Online Shop. We therefore accept no liability for the compatibility of individual order components put together by the customer.
3.3 The ordering process and conclusion of the contract in distance sales contract, as well as these online shop terms and conditions, are provided in English and Polish.
3.4 The following technical steps lead to a binding order for our goods offered within the Online Shop, which entails an obligation to pay by the Customer:
3.4.1 You select the desired goods by clicking on the selection button. You then have the option of either selecting additional goods by clicking on the respective selection button or continuing with the order process for the selected goods by clicking on the corresponding button.
3.4.2 By clicking on "My shopping basket," you will receive a list of all the goods you have ordered from us, including the order details, and you will have the opportunity to correct any errors at any time before completing the order. Immediately before completing the order, we will show you all the data again, including the total price including all taxes and duties.
3.4.3 By clicking on the "Buy now" button, you are placing a binding order for the goods contained in the shopping basket.
3.4.4 As soon as we receive your order on our server, we will send you an automated technical confirmation of receipt by email, which also contains the text of these Terms and Conditions relating to your order. You can also view these online shop terms and conditions at any time at https://www.fronius.com/pl-pl/terms-conditions-hardware-onlineshop-pl.
3.4.5 The confirmation of receipt displayed on the Online Shop website follows immediately after the order is submitted and does not constitute acceptance of the order. We accept your order by sending an order confirmation by email to the address indicated during order placement or user account registration.
3.4.6 The order fulfilment time will be set out in Your order confirmation.
3.5 We are entitled to reject the order without giving reasons. This applies in particular if the information in the Online Shop was incorrect or if we are unable to fulfill the order for any reason. In the event we refuse to accept the order, we will promptly refund any payments received. Further claims for compensation by the Customer are excluded. This provision does not exclude a consumer’s rights under mandatory provisions of law. The Seller’s liability for refusal to fulfill an order towards entrepreneurs is limited to the refund of the payment received in connection with the order.
3.6 You must ensure that the email address you provide during user account registration or order placement is correct so that emails sent by us can be received at this address at any time. In particular, if you use spam filters, you must ensure that all emails sent by us can be delivered. You undertake to notify us immediately of any changes to your delivery address, including your email address, at least in text form. We will send legally relevant declarations to the last known (email) address. Delivery shall therefore be deemed to have been effected even if you have changed your email address without informing us accordingly.
4 Delivery
4.1. Delivery of Goods is limited to the territory of the Republic of Poland and takes place at the address indicated by the Customer when placing the order or, in the case of user account registration, at the address indicated therein.
4.2. Delivery of the ordered Goods is carried out via DPD, DHL or G.Englmayer Spedition (depending on the box size)
4.3. It is not possible to collect the ordered goods in person from our shop. Delivery costs will be indicated when placing the order, as well as at the sub-website https://shop.fronius.com/pl_PL/delivery-costs.
4.4. In the case of a distance sales contract with a consumer, the Seller always bears the risk of accidental damage or loss of the Goods in transit. If the Goods are delivered with obvious damage caused during transport, please report such damage to the delivery company immediately and contact us. A delay in reporting such a complaint or contacting us has no consequences for your statutory claims and their satisfaction, in particular for your rights arising from the non-compliance of the goods with the contract. Reporting any damage noticed during transport as soon as possible helps us to pursue our own claims against the carrier or transport insurer.
5. Prices; payment; invoice
5.1 The prices at the time of the order apply. All prices displayed in the Online Shop are expressed in Polish zloty (PLN) and include VAT. The prices shown do not include shipping costs. Shipping costs are provided during the order placement process. If You are an entrepreneur, which is logged in its Account at the Online Shop, the prices are shown excl. VAT.
5.2 The possible payment methods are listed during the ordering process. Payment for the goods may be made in the manner selected at the time of placing the order. The currently available prepayment methods in the Online Shop are shown in the shopping cart.
5.3 Our claims are due and payable upon order. In the event of default in payment, we shall be entitled to our statutory rights.
5.4 We may provide a digital invoice (e.g., as a PDF document) for download or send it to you by email, unless otherwise agreed. We may also send the invoice on paper at our discretion. The Customer consents to receiving invoices in electronic form.
5.5 The client can view, download, and/or print important documents relating to their order in the overview of their user account under "My orders" by clicking on the three dots under "View." (including the Online Shop Terms and Conditions, Order confirmation, delivery notice, invoice, General Terms and Conditions of Delivery and Payment, etc.).
5.6 If you have any doubts, please contact us before deciding to place an order via email at support@fronius.com.
6. Retention of title, offsetting; right of retention
6.1 The goods remain our property until the price for the ordered goods has been paid in full.
6.2 You are only entitled to offset or retain payment if your counterclaim has been legally established or is undisputed, or if your counterclaim is based on the same contractual relationship as our claim. This restriction does not apply to consumers whose rights to deduct or suspend performance arise from mandatory provisions of law.
7 Withdrawal from the contract evocation
The provisions of this Section 7 apply only to consumers who have concluded a distance sales contract:
7.1 Right of withdrawal
7.1.1 Right of withdrawal
You have the right to withdraw from this contract within fourteen days without giving any reason. In the event of withdrawal from a sales contract, the contract shall be deemed not concluded. The withdrawal period begins on the day on which the Customer takes possession of the goods. In the case of a contract covering multiple goods delivered separately, in batches or in parts, the period runs from the day the Customer takes possession of the last good, batch or part.
To exercise your right of withdrawal, please inform: Fronius Polska Sp. Z o.o. ul. Gustawa Eiffel’a 8, 44-109 Gliwice, Poland Email: support@fronius.com by means of a clear statement (e.g. a letter sent by post or email) of your decision to withdraw from this contract. You can use the sample withdrawal form below, but this is not mandatory. The withdrawal form constitutes Appendix no. 1 to these Online Shop Terms and Conditions. To meet the cancellation deadline, it is sufficient for you to send your notification of exercising your right of cancellation before the cancellation before the expiry of the above-mentioned withdrawal period.
7.1.2 Consequences of withdrawal
If you withdraw from this contract, we shall reimburse you for all payments we have received from you, including delivery costs (with the exception of additional costs resulting from your choice of a type of delivery other than the cheapest standard delivery offered by us) immediately and no later than fourteen days from the day on which we receive your notification of your withdrawal of this contract at support@fronius.com. If the Seller has not offered to collect the goods from the Customer, the Seller may withhold the refund of payments received from the Customer until the goods have been returned or the Customer has supplied evidence of having sent back the goods, whichever occurs first.
We will use the same means of payment for this repayment as you used for the original transaction, unless expressly agreed otherwise with you; in no case will you be charged for this repayment.
If you have requested that the services begin during the withdrawal period, you are obliged to pay us the actual value of the services (costs incurred) already provided up to the time you inform us of the exercise of the right of withdrawal in relation to the total scope of services provided for in the contract.
You must return or hand over the goods to us immediately, and in any case no later than fourteen days from the day on which you notify us of the cancellation of the withdrawal from this contract. Timely dispatch of the goods before the deadline is sufficient to meet this deadline.
The goods should be delivered to
Fronius Steinhaus, Gruberstraße 2, 4641 Steinhaus bei Wels, Austria.
The costs of returning the goods are borne by Fronius. You shall only be liable for any loss in value of the goods if this loss in value is due to handling of the goods that is not necessary for testing their condition, properties, and functionality.
7.2 Expiration of the right of withdrawal
7.2.1 The right to withdraw from a distance sales contract does not apply to the contracts listed in Article 38 of the Polish Consumer Rights Act of 30 May 2014 (consolidated text: Journal of Laws of 2024, item 1796), including, in particular, contracts for:
7.2.1.1. the provision of services for which the consumer is obliged to pay the price, if the Seller has performed the service in full with the consumer’s express prior consent and after having informed the consumer that, upon full performance by the Seller, the right of withdrawal is lost, and the consumer acknowledged this;
7.2.1.2. where the price or remuneration depends on fluctuations in the financial market over which the trader has no control and which may occur before the end of the withdrawal period;
7.2.1.3. the supply of non-prefabricated goods made to the consumer’s specifications or clearly personalized;
7.2.1.4. the supply of goods in sealed packaging which are not suitable for return due to health protection or hygiene reasons and were unsealed after delivery;
7.2.1.5. the supply of audio or video recordings or computer software in sealed packaging which were unsealed after delivery;
7.2.1.6. the supply of digital content not supplied on a tangible medium for which the consumer is obliged to pay the price, if the Seller has begun performance with the consumer’s express prior consent and after informing the consumer that, upon performance by the Seller, the right of withdrawal is lost, and the consumer acknowledged this;
7.2.1.7. goods liable to deteriorate or expire rapidly, and goods which, after delivery and by their nature, are inseparably mixed with other items;
7.2.1.8. the supply of newspapers, periodicals or magazines, with the exception of subscription contracts.
8. Complaints; complaints regarding services provided electronically, dispute resolution
8.1 Complaints and objections regarding our goods or non-compliance of goods with the contract may be sent directed to the Seller’s address provided in section 1.6.
8.2 Our email address is: support@fronius.com.
8.3 The complaint should specify the defect that the Customer believes the goods to have, the demands made on the Seller and, if possible, document the reported defect and provide proof of purchase of the goods in the Online Shop. The Seller is obliged to respond to the complaint as soon as possible of its receipt. The Seller shall send the response to the complaint to the Buyer by e-mail.
8.4 The Seller shall take measures to ensure the fully correct operation of the Online Store, to the extent resulting from current technical knowledge, and undertakes to remove any irregularities reported by Customers within a reasonable time.
8.5 The Customer may notify us of any irregularities or interruptions in the functioning of the Online Shop. Irregularities related to the functioning of the Shop should be reported by e-mail to the address indicated in section 1.6 of these Terms and Conditions.
8.6 In complaints concerning irregularities related to the functioning of the Online Store, please indicate the type and date of the irregularity.
8.7 We undertake to respond to complaints regarding the provision of electronic services as soon as possible from the date of submission.
9 Requirements for installation
We would like to expressly point out that our solar solutions for e-mobility, heating solutions, and PV power generation products (e.g., Wattpilot, Ohmpilot, inverters) and related items (e.g., emergency power solutions, smart meters, data communication components, surge arresters) may only be installed and commissioned by an installer specializing in the installation of photovoltaic systems in accordance with the respective Fronius operating and installation instructions.
10. Liability for defects and non-compliance with the contract
10.1 In the event of defects, you have the statutory rights. If you are an entrepreneur, our General Terms and Conditions of Delivery and Payment (see Section 1.3) apply exclusively. With regard to entrepreneurs, the Seller's liability under the warranty for physical defects of the goods is excluded.
11 Seller's responsibility
11.1 The provisions of this paragraph that are less favourable to the Consumer than the mandatory or semi-mandatory provisions of generally applicable law shall not be binding on the Consumer and shall be replaced by the relevant mandatory or semi-mandatory provisions of generally applicable law.
11.2 Our liability for damages and reimbursement of expenses for slight negligence is excluded, unless we have breached a material contractual obligation, i.e., an obligation whose fulfillment is essential for the proper execution of the contract or on whose fulfillment you may regularly rely. In this case, our liability is limited to the damage typical for the contract, the occurrence of which we had to expect at the time of conclusion of the contract based on the circumstances known to us.
11.3 However, our liability for damages resulting from injury to life, limb, or health, for intent and gross negligence, for the absence of a contractual characteristic is unlimited.
11.4 If you are an entrepreneur, the provisions of the General Terms and Conditions of Delivery and Payment (see Section 1.3) shall apply exclusively to the Seller liability.
12 Data Protection
12.1 The processing of the Customer's personal data is carried out in accordance with the provisions on the protection of personal data.
12.2 We provide detailed information about how we handle information and personal data for the purpose of providing the Online Shop and processing orders in our privacy policy, which can be viewed at any time at https://www.fronius.com/pl-pl/poland/oswiadczenie-o-ochronie-danych.
13 Applicable law; place of jurisdiction
13.1 These Regulations are governed by the law of the Republic of Poland.
13.2 Any disputes arising between the Seller and a Customer who is not a Consumer shall be submitted to the court having jurisdiction over the Seller’s registered office.
13.3. In all other respects, such disputes shall be resolved by the locally competent common court in accordance with generally applicable provisions of law. A Customer who is a Consumer may also use out-of-court complaint and redress mechanisms. Information about out-of-court complaint and redress procedures is available on the website of the Office of Competition and Consumer Protection (UOKiK): www.uokik.gov.pl. Such proceedings are voluntary and require the consent of both parties. Detailed information on the possibility for Consumers and Entrepreneurs to exercise certain consumer rights through out-of-court complaint handling and redress procedures, as well as the rules for accessing these procedures, is available on the website at: https://uokik.gov.pl/pozasadowe_rozwiazywanie_sporow_konsumenckich.php. A list of institutions dealing with out-of-court settlement of consumer disputes in Poland is available on the website at: https://uokik.gov.pl/rejestr_podmiot_uprawnionych.php.
14 Written form; severability clause
14.1 The Seller reserves the right to amend the Terms and Conditions at any time. The amended ‘Terms and Conditions of the Online Store’ will be available at https://shop.fronius.com/pl_PL/. for all users of the Online Shop. Amendments to the ‘Terms and Conditions of the Online Shop’ shall come into force upon their publication or upon publication of the text of the ‘Terms and Conditions of the Online Shop’ containing the amendment on the Shop's website. Amendments to the ‘Terms and Conditions of the Online Shop’ shall not infringe the acquired rights of users of the Shop.
14.2 Should individual provisions of these online shop terms and conditions be legally invalid, void or unenforceable, the effectiveness, validity and enforceability of the remaining provisions shall remain unaffected. In such a case, the parties agree that the provision in question shall be replaced by a provision that comes as close as possible to the economic result of the invalid, void, or unenforceable provision and that comes closest to the intention of the parties at the time the contract was concluded. This also applies in the event of contractual loopholes. This provision applies only to entrepreneurs within the meaning of Section 1.3.
15 Miscellaneous
15.1. These Terms and Conditions shall come into force on 04.11.2025.
15.2. The Customer may terminate the contract for the provision of electronic services at any time by sending the Seller an appropriate statement of intent, using any means of remote communication.
15.3. The Seller reserves the right to: withdraw individual goods from the offer, introduce new goods to the offer, carry out, change and cancel any promotional campaigns.
15.4. In matters not covered by these Terms and Conditions, the provisions of the Civil Code shall apply, and in the case of consumers, the Consumer Rights Act and other generally applicable laws.
